Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KAOS platform ("Service"), operated by KLJ Systems ("we", "us", or "our"). By creating an account or using the Service, you agree to be bound by these Terms.

If you are using the Service on behalf of a business, you represent that you have the authority to bind that business to these Terms.

KAOS is a modular business management platform designed for trade and service businesses. The Service includes tools for CRM, invoicing, job management, purchasing, scheduling, analytics and other business operations, as described at kaos.app/features.

We reserve the right to modify, suspend or discontinue any part of the Service at any time. We will provide reasonable notice of material changes where possible.

To use the Service you must create an account. You agree to:

• Provide accurate, current and complete information during registration
• Maintain the security of your password and not share account credentials
• Notify us immediately of any unauthorised access to your account
• Be responsible for all activity that occurs under your account

You must be at least 18 years of age to create an account. We reserve the right to refuse registration or cancel accounts at our discretion.

You agree not to use the Service to:

• Violate any applicable law, regulation or third-party rights
• Transmit spam, unsolicited communications or malicious content
• Attempt to gain unauthorised access to any part of the Service or its infrastructure
• Reverse engineer, decompile or disassemble any part of the Service
• Use the Service to store or transmit unlawful, defamatory or fraudulent content
• Resell or sublicense access to the Service without written permission

You retain full ownership of all business data, records and content you create or upload to the Service ("Your Data"). By using the Service, you grant us a limited licence to store, process and transmit Your Data solely to provide the Service to you.

We do not claim ownership of Your Data and will not use it for any purpose beyond operating the Service. Please refer to our Privacy Policy for full details on data handling.

The Service is currently offered during an early access period. Certain features and modules are available at no cost during this period.

When paid plans are introduced, pricing will be communicated clearly in advance. By continuing to use paid modules after billing commences, you agree to pay the applicable fees. All prices are in Australian Dollars (AUD) and are inclusive of GST unless stated otherwise.

We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

The KAOS platform, including its design, code, trademarks and content, is owned by KLJ Systems and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited licence to use the Service as described herein.

The Service may integrate with third-party services including Supabase, Resend and Basiq. Your use of these integrations is subject to the terms and privacy policies of those providers. We are not responsible for the acts or omissions of third-party service providers.

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be uninterrupted, error-free or free of harmful components.

To the maximum extent permitted by law, we disclaim all implied warranties including merchantability, fitness for a particular purpose and non-infringement.

To the maximum extent permitted by Australian law, KLJ Systems shall not be liable for any indirect, incidental, special, consequential or punitive damages, including loss of profits, data or business, arising out of your use of or inability to use the Service.

Our total liability to you for any claim arising under these Terms shall not exceed the amount you paid to us in the 12 months preceding the claim, or AUD $100 if you have not paid us anything.

You may terminate your account at any time by contacting us or through the account settings. Upon termination, your right to use the Service ceases immediately.

We may suspend or terminate your account if you breach these Terms, fail to pay applicable fees, or if we are required to do so by law. We will provide reasonable notice where possible.

These Terms are governed by the laws of Queensland, Australia. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Queensland, Australia.

Nothing in these Terms limits any rights you may have under the Australian Consumer Law.

We may update these Terms from time to time. We will notify you of material changes by email or via a notice within the platform at least 14 days before they take effect. Your continued use of the Service after changes take effect constitutes your acceptance of the updated Terms.
